End User License Agreement (EULA) for Workphaze

Effective Date: 9/4/2025

This End User License Agreement (“Agreement”) is a legal contract between you (“User” or “Licensee”) and Brady Software Design Associates, Inc. (“Licensor,” “we,” “us,” or “our”) regarding your use of the Workphaze software platform (“Software” or “Service”).

By installing, accessing, or using Workphaze, you agree to be bound by this Agreement. If you do not agree, you must not use the Software.

1. License Grant

• We grant you a limited, non-exclusive, non-transferable, revocable license to use Workphaze solely for your internal business purposes.

• This license does not constitute a sale of the Software or any ownership rights.

2. Restrictions

You may not:

• Copy, modify, or distribute the Software except as expressly permitted.

• Reverse engineer, decompile, or attempt to extract source code.

• Rent, lease, sublicense, or resell the Software.

• Use the Software in any unlawful or harmful manner.

3. User Responsibilities

• You are responsible for maintaining the confidentiality of your login credentials.

• You are responsible for all activity that occurs under your account.

• You must comply with all applicable laws when using the Software.

4. Ownership and Intellectual Property

• Workphaze, including all intellectual property rights, remains the sole property of Brady Software Design Associates, Inc.

• Nothing in this Agreement grants you ownership rights in the Software.

5. Data and Privacy

• You retain ownership of your data.

• Our collection and use of data is governed by the Workphaze Privacy Policy.

• By using the Software, you grant us the rights necessary to operate, support, and improve the Service.

6. Updates and Modifications

• We may provide updates, bug fixes, or enhancements.

• This Agreement applies to all updates unless accompanied by a new agreement.

• We reserve the right to modify or discontinue the Software with notice.

7. Termination

• This Agreement is effective until terminated.

• You may terminate by discontinuing use of the Software.

• We may terminate your license immediately if you violate this Agreement.

• Upon termination, you must cease all use of the Software.

8. Disclaimer of Warranties

The Software is provided “as is” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Brady Software Design Associates, Inc. shall not be liable for any indirect, incidental, or consequential damages. Our total liability shall not exceed the fees paid by you for the Software in the 12 months preceding the claim.

10. Governing Law

This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and Brady Software Design Associates, Inc. regarding Workphaze, and supersedes all prior agreements.
